Terms of Service

Conditions Générales – Contrat de Services Photographiques (Québec)

1. Parties au Contrat

  • Photographe : Loic Pravaz, domicilié au 224 Couture, J7A2S1, Rosemère, Québec, Canada, numéro d’entreprise du Québec (NEQ) 1179841672, ci-après désigné comme « le Photographe ».

  • Client : ci-après désigné(e) comme « le Client ».

2. Langue du Contrat

Ces termes et conditions sont rédigés en français, conformément à la Charte de la langue française. En cas de traduction, la version française prévaudra.

3. Protection des Données (Loi 25 – Loi modernisant des dispositions législatives en matière de protection des renseignements personnels)

  • Les photos et données personnelles du Client sont traitées de manière confidentielle et ne seront pas partagées sans consentement écrit, sauf pour des fins de représentation du photographe (portfolio, site internet, réseaux sociaux)

4. Droit à l’Image (Art. 35 à 41 C.c.Q)

  • Le Client garantit avoir obtenu les autorisations nécessaires des personnes photographiées.

  • Si le Photographe est tenu de flouter ou supprimer une photo pour respecter le droit à l’image d’un tiers, aucun remboursement ne sera exigé. De plus le travail à effectuer sur les photos devra être facturé au tarif de retouche du photographe (85$/h).

5. Droits d’Auteur et Licence d’Utilisation

  • Le Photographe conserve l’intégralité des droits d’auteur sur les images.

  • Une licence d’utilisation non exclusive est accordée au Client pour une durée de [X] ans, limitée à :

    • Photographie commerciale : Usage promotionnel (site web, réseaux sociaux, publicités imprimées).

    • Photographie immobilière : Usage dans le cadre de la vente ou location des propriétés photographiées.

  • Toute utilisation au-delà de la licence (ex : revente des images) nécessite un accord écrit et un tarif supplémentaire.

  • Retouche des images : la retouche des images ne peut être effectuée que par Loïc Pravaz, ou l’un de ses sous-traitants, sauf autorisation écrite. Toute retouche non-approuvée par le photographe, y compris le recadrage est interdite, sauf autorisation écrite par le photographe.

6. Droit à l’Image et Autorisations

  • Le Client garantit avoir obtenu les autorisations nécessaires pour photographier les lieux, produits ou personnes concernés.

  • En cas de refus d’un tiers (ex : propriétaire, employé), le Photographe n’est pas responsable des photos manquantes.

7. Annulation et Report

  • Annulation par le Client :

    • Plus de 48 heures avant la séance : Acompte conservé par le Photographe.

    • Moins de 48 heures avant : 50% du montant total dû.

    • Moins de 24 heures avant : 100% du montant total est dû.

  • Report : Sous réserve de disponibilité. Si impossible, tout report sera traité comme une annulation.

8. Responsabilité

  • Le Photographe décline toute responsabilité en cas de :

    • Dommages matériels sur les lieux photographiés.

    • Problèmes techniques indépendants de sa volonté (ex : équipement défaillant, intempéries).

  • Sa responsabilité est limitée au montant perçu pour la prestation.

  • Retard : le photographe décline toute responsabilité en cas de retard dû à des circonstances indépendantes de sa volonté

9. Confidentialité

  • Les informations échangées (plans, projets, etc.) restent confidentielles.

  • Le Photographe s’engage à ne pas divulguer les photos sans accord écrit du Client, sauf pour sa promotion personnelle (portfolio, réseaux sociaux).

  • Le client s’engage à notifier par écrit au photographe toute chose qui doit rester confidentielle.

10. Livraison et Acceptation

  • Les photos seront livrées dans un délai de 5 jours ouvrables après la séance.

  • Le Client dispose de 7 jours après la livraison pour signaler tout défaut. Passé ce délai, les livrables sont considérés comme acceptés.

11. Clause de paiement et Non-Paiement

  • L’entièreté du paiement est due sur réception de la facture par le client.

  • Tout retard de paiement entraînera directement des intérêts de 2% par mois.

  • En cas de défaut de paiement, la licence d’utilisation est immédiatement révoquée. Le Client doit cesser immédiatement toute utilisation des images et les retirer de tous supports.

  •  

12. Responsabilité et Force Majeure

  • Le Photographe n’est pas responsable des pertes indirectes (ex : retard de livraison causant un préjudice moral).

  • La notion de « cas fortuit » (intempéries, pandémie, grève) s’applique conformément à l’art. 1470 C.c.Q. Aucune compensation ne sera due dans ces cas.

13. Litiges et Médiation

  • En cas de litige, les parties s’engagent à prioriser une médiation via un organisme accrédité au Québec (ex : Centre de médiation et d’arbitrage de Montréal).

  • Si aucun accord n’est trouvé, les tribunaux de la région judiciaire de Montréal seront compétents.

14. Clauses de Consommation (LPC Québec)

  • Le Client dispose d’un droit de rétractation de 7 jours si le contrat est signé à distance (télécopieur, internet), sauf si la prestation a déjà commencé.

  • Aucune clause ne peut limiter les recours prévus par la Loi sur la protection des consommateurs.

15. Archivage des Fichiers

  • Les photos sont conservées pendant 6 mois sur un support sécurisé conformément aux normes québécoises. Une récupération ultérieure peut entraîner des frais (minimum 75 $ CAD), si les fichiers sont toujours disponibles.

16. Cession et Sous-traitance

  • Le Photographe peut confier une partie des services à un assistant, sans informer le Client.

 

Terms and Conditions – Photography Services Contract (Commercial and Real Estate)

1. Parties to the Contract

  • Photographer: Loic Pravaz, residing 224 Couture, J7A2S1, Rosemère, Québec, Canada, Quebec Enterprise Number (NEQ) 1179841672, hereinafter referred to as “the Photographer.”

  • Client: hereinafter referred to as “the Client.”

 

Copyright (Copyright Act, R.S.C. 1985, c. C-42)

•             The Photographer retains all copyrights to the images, including moral rights (Art. 14.1 C.C.Q.).
•             A non-exclusive license to use is granted to the Client for personal and/or commercial purposes. For personal photos, any commercial use (advertising, promotion, etc.) requires written agreement and an additional fee. For commercial use, the license is granted solely to the Client and cannot be transferred or assigned to any other party.

 

Data Protection (Law 25 – Act to Modernize Legislative Provisions Regarding the Protection of Personal Information)
• The Client’s photos and personal data are handled confidentially and will not be shared without written consent, unless the photographer needs to showcase his work on his website, portfolio, or social media.

Right to Image (Art. 35-41 C.C.Q.)
• The Client warrants that they have obtained the necessary permissions from all individuals photographed.
• If the Photographer is obligated to blur or delete a photo to comply with a third party’s image rights, no refund will be owed, and retouching work will be charged at photographer’s retouching rate (85$/h).

Cancellation and Rescheduling
• Cancellation by the Client:
o More than 48 hours before the session: Deposit retained by the Photographer.
o Less than 48 hours before: 50% of the total amount due.
o Less than 24 hours before: 100% of the total amount is due.
• Rescheduling: Subject to availability. If rescheduling is impossible, any postponement will be treated as a cancellation.

Liability
• The Photographer disclaims all liability for:
o Material damages at the photographed location(s).
o Technical issues beyond their control (e.g., equipment failure, inclement weather).
• Their liability is limited to the amount received for the service.
• Delays and late arrivals: The Photographer disclaims all liability for delays caused by circumstances beyond their control.

Confidentiality
• Exchanged information (plans, projects, etc.) remains confidential.
• The Photographer agrees not to disclose the photos without the Client’s written consent, except for personal promotion (portfolio, social media).
• The Client agrees to notify the Photographer in writing of anything that must remain confidential.

Copyright and Usage License
• The Photographer retains all copyrights to the images.
• A non-exclusive usage license is granted to the Client for a period of [X] years, limited to:
o Commercial Photography: Promotional use (website, social media, print advertisements).
o Real Estate Photography: Use related to the sale or rental of the photographed properties.
• Any use beyond the license (e.g., resale of images) requires written agreement and an additional fee.
• Image Editing: Editing of images may only be performed by Loïc Pravaz or one of their subcontractors, unless written authorization is provided. Any unapproved editing by the Photographer, including cropping, is prohibited unless written authorization is obtained from the Photographer.

 

Cancellation and Rescheduling
• Cancellation by the Client:
o More than 48 hours before the session: Deposit retained by the Photographer.
o Less than 48 hours before: 50% of the total amount due.
o Less than 24 hours before: 100% of the total amount is due.
• Rescheduling: Subject to availability. If rescheduling is impossible, any postponement will be treated as a cancellation.

 

Liability
• The Photographer disclaims all liability for:
o Material damages at the photographed location(s).
o Technical issues beyond their control (e.g., equipment failure, inclement weather).
• Their liability is limited to the amount received for the service.
• Delays: The Photographer disclaims all liability for delays caused by circumstances beyond their control.

Confidentiality
• Exchanged information (plans, projects, etc.) remains confidential.
• The Photographer agrees not to disclose the photos without the Client’s written consent, except for personal promotion (portfolio, social media).
• The Client agrees to notify the Photographer in writing of anything that must remain confidential.

Delivery and Acceptance
• The photos will be delivered within 5 business days after the session.
• The Client has 7 days after delivery to report any defects. After this period, the deliverables will be deemed accepted.

 

Payment and Non-Payment Clause
• The full payment is due immediately upon the Client’s receipt of the invoice.
• Any late payment will incur interest at 2% per month.
• In the event of non-payment, the usage license is immediately revoked. The Client must cease all use of the images and remove them from all media without delay.

 

Liability and Force Majeure
• The Photographer is not liable for indirect losses (e.g., delivery delays causing moral damages).
• The concept of "force majeure" (inclement weather, pandemics, strikes) applies in accordance with Art. 1470 C.C.Q. No compensation will be owed in such cases.

 

Disputes and Mediation
• In the event of a dispute, the parties agree to prioritize mediation through an accredited body in Québec (e.g., Montreal Mediation and Arbitration Centre).
• If no agreement is reached, the courts of the judicial district of Montreal will have jurisdiction.

 

Consumer Clauses (QCPA – Québec Consumer Protection Act)
• The Client has a 7-day cooling-off period to cancel the contract if it was signed remotely (fax, online), unless the service has already commenced.
• No clause may limit the remedies provided under the Consumer Protection Act.

File Archiving
• Photos are stored for 6 months on a secure storage medium compliant with Québec standards. Subsequent file recovery may incur fees (minimum $75 CAD), if the files are still available.

Assignment and Subcontracting
• The Photographer may delegate a portion of the services to an assistant without prior notice to the Client.
